Client Service Agreement

This agreement is legally binding.

Services Covered

This Agreement applies to all AC-AI plans including:

  • AC-Voice

  • AC-Voice Unlimited

  • Any custom or bundled service packages

Service Deliverables

AC-AI will provide services as outlined in your selected plan. All services are delivered remotely and include standard features as advertised. Any customization, expansion, or integration outside of the advertised scope may require additional fees and a separate agreement.

Payment Terms

  • All fees are in CAD and subject to applicable taxes.

  • Payment is due monthly in advance via automatic billing unless otherwise agreed in writing.

  • One-time setup fees are non-refundable and due upon signing.

  • Late payments are subject to a 2% interest fee per month or the maximum permitted by law.


Term and Cancellation

  • This Agreement is effective on the date of service activation.

  • All plans are month-to-month unless stated otherwise.

  • Client may cancel at any time with 7 days' written notice before the next billing cycle.

  • AC-AI may terminate or suspend services immediately for violations of these terms or non-payment.

Client Responsibilities

  • You agree to provide timely access to assets, logins, or materials required to deliver services.

  • You are solely responsible for compliance with advertising platform policies (e.g., Facebook, Google).

  • You agree not to misuse, resell, or white-label any services without written permission.


Included Usage

The AI Employee Package includes a monthly allotment of AC-Voice minutes as outlined in the client's selected plan.

  • AC-Voice: 200 included AC-Voice minutes/month

  • AC-Voice Unlimited: Subject to Fair Use Policy

Unused minutes do not roll over to future billing cycles

Fair Use Policy (Unlimited Plan)

The AC-Voice Unlimited Plan is intended for normal, reasonable business usage by small-medium sized businesses

The Unlimited Plan is designed to support typical day-to-day customer communication needs, including:

  • Appointment booking

  • Answering common questions

  • Handling missed call

  • Customer follow ups

  • voicemail/message handling

Unlimited Plan is NOT intended for:

  • Telemarketing operations

  • Robocalling

  • Spam related activity

  • Call center-level traffic

  • Mass outbound campaigns

  • Artificial usage inflation

  • Continuous automated looping calls

  • Abusive or excessive usage patterns

Excessive Usage

If a client's usage significantly exceeds normal operational usage patterns and creates unreasonable infrastructure or operating costs, AC-AI reserves the right to:

  • Review account usage

  • Recommend a higher tier or custom enterprise plan

  • Apply additional usage based charges

  • Temporarily limit or suspend excessive usage to protect platform stability

Abuse Prevention

Clients may not intentionally manipulate, inflate, or abuse AI usage through:

  • Repeated non-business testing

  • Automated looping systems

  • Intentional idle calls

  • Spam calls

  • Unauthorized third party usage

Accounts found abusing the service may be suspended or terminated without refund

Limitation of Liability

To the maximum extent permitted by law:

  • AC-AI shall not be liable for indirect, incidental, or consequential damages.

  • Our total liability shall not exceed the amount paid by you in the 30 days prior to the claim.

Modification to Terms


We reserve the right to update these Terms and Conditions at any time. Clients will be notified of material changes at least 7 days prior to them taking effect.

No Guarantees

While AC-AI applies best practices in all deliverables, we do not guarantee:

  • Specific lead volumes

  • Sales conversions

Governing Law

This Agreement shall be governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.

Acceptance

By signing up for any AC-AI plan or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

Confidentiality & Data

  • We agree not to share your confidential business data with third parties, except when required by law or for technical service delivery (e.g., using CRM tools or SMS providers).

  • You retain ownership of your customer data. AC-AI retains ownership of proprietary workflows, templates, and systems used to deliver services.

AI Usage Disclaimer

AI-driven services (e.g., chatbots, AI Employees) are designed to assist, not replace, human business functions. AC-AI is not liable for:

  • Errors in conversation responses

  • Misinterpretation of lead data

  • Regulatory compliance relating to AI usage in your industry


Clients are responsible for reviewing and approving AI messaging content.

Service Availability

While AC-AI strives for high uptime and reliability, uninterrupted service is not guaranteed. Temporary outages, third party provider issues, maintenance, or AI provider disruptions may occasionally affect availability.

Pricing & Usage Changes

AC-AI reserves the rights to adjust pricing, included usage limits, or overage rates with reasonable prior notice due to changes in provider costs, infrastructure expenses, or platform updates
